HIVEMIND YT Sales Policy

1. Introduction and Scope

This Sales Policy (the "Policy") governs the purchase of paid subscription plans and related billing for the HIVEMIND YT service (the "Service"), operated by HIVEMIND YT LLC, a California limited liability company ("HIVEMIND YT LLC," "we," "us," or "our"). The Service is available at hivemind.yt. This Policy explains what we sell, how we bill, how automatic renewal works, how you can cancel, how taxes are handled, who processes your payments, and how prices may change.

This Policy is part of, and incorporated by reference into, our Terms of Service and other published legal documents. Where this Policy and the Terms of Service address the same subject, both are intended to be read together. Capitalized terms not defined here have the meanings given in the Terms of Service.

Important beta notice. The Service is currently offered in a private beta program accessible only by invitation through an access code. During the beta program, access to the Service is provided free of charge. The paid subscription plans, prices, features, and other commercial terms described in this Policy exist within the product but are pre-release and are not final. They are subject to change at any time, with or without notice, in our sole discretion, as further described in the Price Changes and Pre-Release Terms section below and in our Beta and Early Access Terms. No charge will be made to you under this Policy unless and until you affirmatively enroll in a paid plan and consent to be charged as described below.

2. Products: Subscription Plans

The products sold through the Service are recurring subscription plans that grant access to HIVEMIND YT features and capacity according to the plan you select. We currently offer four subscription tiers. The standard monthly prices, in United States dollars (USD), are: Synapse at 20 USD per month; Cortex at 50 USD per month; Nexus at 200 USD per month; and Omni at 500 USD per month.

A discounted yearly (annual) billing option is available for each tier. When you choose annual billing, the discounted annual price and the corresponding savings are presented to you on the checkout and plan-selection screens before you confirm your purchase. The price, billing frequency, and any applicable discount that apply to your purchase are the amounts clearly displayed to you at the point of sale at the time you place your order.

All prices are stated and charged in United States dollars (USD). Amounts are processed internally in integer minor currency units (United States cents). The features, usage allowances, and capabilities included with each tier are described on our pricing and plan pages and may differ between tiers and between monthly and annual billing.

Because the Service is in beta, the plans, prices, features, and tier definitions described above are pre-release and subject to change. The authoritative price and terms for any given purchase are those shown to you at checkout and in your order confirmation.

3. Currency

All purchases, prices, charges, and refunds under this Policy are denominated and transacted in United States dollars (USD). If your payment card or bank account is denominated in another currency, your card issuer or bank may apply its own currency-conversion rate and may charge foreign-transaction or similar fees. Those conversion rates and fees are determined by your card issuer or bank, not by HIVEMIND YT LLC, and we are not responsible for them.

4. Billing Cycle

Paid subscriptions are billed in advance on a recurring basis for the billing period you select at checkout: monthly for monthly plans, or annually for annual plans. Your first charge is applied when you begin a paid subscription, and each subsequent charge is applied at the start of each renewal period on the recurring billing date that corresponds to the date your paid subscription began, unless and until you cancel or we change your plan as permitted by this Policy.

By starting a paid subscription you authorize HIVEMIND YT LLC, through our payment processor, to charge your selected payment method the then-current subscription price (plus any applicable taxes) for each billing period on a recurring basis until you cancel. You are responsible for keeping your payment method information current and valid. If a charge is declined or a payment method fails, we may retry the charge, request updated payment information, and suspend or limit access to paid features until the amount owed is paid.

We accurately communicate the nature, amount, and currency of each charge before it is submitted for processing, and we present clear pricing and product descriptions at checkout.

5. Automatic Renewal Disclosure

Please read this section carefully. Paid subscriptions automatically renew. By enrolling in a paid subscription and providing your affirmative consent at checkout, you agree to the following automatic-renewal and continuous-service terms, which are also presented to you in a clear and conspicuous manner, in visual proximity to where you consent to the purchase, before your purchase is completed:

(a) Your subscription will automatically renew at the end of each billing period (each month for monthly plans, or each year for annual plans) and will continue until you cancel it.

(b) Unless you cancel before the end of the then-current billing period, we (through our payment processor) will automatically charge your payment method the then-current price for the next billing period, plus any applicable taxes, using the payment method on file.

(c) The recurring charge amount is the price shown to you at the time of purchase for your selected plan and billing frequency, subject to any future price changes made in accordance with the Price Changes and Pre-Release Terms section, for which we will provide advance notice as described there.

(d) The renewal will occur on the recurring billing date that corresponds to the start date of your paid subscription.

(e) You may cancel at any time as described in the How to Cancel section below, and your cancellation will stop future automatic charges.

We obtain your affirmative consent to these automatic-renewal terms before charging you. After you enroll in a paid plan, we will send you, by email to the address associated with your account (a form you can retain), an acknowledgment that sets out the automatic-renewal offer terms, the recurring charge amount and billing frequency, the date of the next charge, our cancellation policy, and instructions or a direct link you can use to cancel online. This automatic-renewal disclosure is intended to comply with the California Automatic Renewal Law and the federal Restore Online Shoppers Confidence Act.

6. How to Cancel

You may cancel your paid subscription at any time, and cancellation is designed to be simple and to avoid steps that obstruct it. Because you accepted your subscription online, you may cancel online at will.

Primary cancellation method (online, self-service). Sign in to your HIVEMIND YT account, open your account or subscription billing settings, and use the prominently located cancel option (such as a cancel-subscription link or button) to cancel. This online cancellation path is available without your having to call, chat, or complete additional retention steps in order to cancel.

Additional cancellation method. You may also cancel by sending an email request to contact@hivemind.yt from the email address associated with your account, stating that you want to cancel your subscription. We honor a clear cancellation request submitted by this method.

Effect of cancellation. When you cancel, your subscription will not renew, and you will not be charged for any billing period that begins after the cancellation takes effect. Unless otherwise required by applicable law or stated in our Refund Policy, cancellation stops future charges but does not by itself retroactively refund amounts already charged for the current billing period; you generally retain access to the paid features through the end of the period you have already paid for. Refund eligibility, including any statutory cancellation or withdrawal rights that may apply to you, is addressed in our Refund Policy and is not waived by this Policy.

7. Taxes

Prices shown are exclusive of taxes unless stated otherwise at checkout. You are responsible for all applicable sales, use, value-added (VAT), goods-and-services, or similar taxes, levies, or duties associated with your purchase, other than taxes based on our net income.

Where we are required to collect such taxes, the applicable tax will be calculated and added to your order based on factors such as your billing or location information and the applicable tax rules, and the tax amount will be shown to you before you complete a charge where reasonably practicable, and reflected on your charge and order confirmation. If you are exempt from a tax we would otherwise collect, you are responsible for providing valid exemption documentation, and any exemption applies only after we have accepted that documentation. Tax records associated with your purchases are retained as required by applicable law, as further described in our Privacy Policy.

8. Payment Processing (Stripe)

Payments for the Service are processed by Stripe, our third-party payment processor. When you provide payment-card or other payment information, that information is collected and processed by Stripe under Stripe's own terms and privacy practices. Your use of Stripe to pay for the Service is subject to Stripe's agreements with you and with us.

HIVEMIND YT LLC does not store your full payment-card number. Full cardholder data is handled by Stripe within its secure, tokenized payment flows; we work with Stripe's customer and payment-method tokens rather than retaining raw card numbers. We do not store sensitive authentication data such as the card verification value (the security code) after authorization, and we do not request or use your card account number for any purpose other than completing a transaction you have authorized.

We maintain systems intended to comply with applicable Payment Card Industry Data Security Standard (PCI DSS) requirements for the role we perform, and we transact in accordance with applicable card network rules (including, as applicable, the Visa Rules, the Mastercard Rules, and the American Express Merchant Operating Guide). We do not use the payment services for prohibited or restricted businesses or activities.

9. Credits and Promotional Amounts

From time to time we may, in our sole discretion, issue account credits, promotional discounts, or trial periods. Where offered, any such credit, discount, or trial will be subject to the specific terms presented to you when it is made available, including any expiration date and eligibility conditions.

Unless we expressly state otherwise in writing at the time of the offer: credits and promotional amounts have no cash value, are non-transferable, are not redeemable or exchangeable for cash, may not be combined with other offers, and may expire. We may modify or discontinue any credit or promotional program prospectively. If a free or discounted trial is offered, we will disclose how and when it converts to a paid subscription, how to cancel, and (where applicable law requires for longer trial periods) provide the renewal notice required before the trial ends, and we will allow you to cancel before you are charged.

Invitation and trial codes. Trial access granted through an invitation or trial code is currently live. A code carries the plan level and the number of days of access that we set for it, and the terms that govern codes, including that a code may be redeemed at most once per account and may be changed or revoked at any time, are set out in Section 3a of the Beta Testing Terms at /legal/beta-terms. Access obtained through a code does not convert automatically into a paid subscription. At the end of the period a code carries, the account may instead be downgraded to a limited or expired state in which paid features are not available, and no charge is made at that point. You will be charged only if you separately enroll in a paid plan and consent to be charged as described in Section 5 of this Policy. Any other trial we may offer will be governed by the terms shown to you at the time it is offered.

10. Price Changes and Pre-Release (Beta) Terms

Because the Service is in a private beta, the plans, prices, features, and other commercial terms are pre-release and subject to change at any time, with or without notice, in our sole discretion. We have no obligation to release any generally available version of any plan or feature, or to continue any beta plan, price, or feature.

Price changes affecting existing paid subscriptions. If you are an existing paying subscriber and we change the recurring price that applies to your subscription, we will provide you advance notice of the new price before it takes effect, by email to the address associated with your account or through the Service. A changed price will not apply to you until your next renewal that occurs after the notice period. If you do not agree to a price change, you may cancel before the change takes effect using the methods described in the How to Cancel section; if you do not cancel and your subscription renews after the notice, you will be charged the new price for the next billing period.

Nothing in this section limits any separate, more protective notice or consent requirement imposed by applicable law for changes to an automatically renewing subscription.

11. Order Confirmation and Records

After you complete a purchase, we will provide an order confirmation by email to the address associated with your account (a form you can retain) that includes the plan purchased, the billing frequency, the price and currency, any applicable taxes, and information about the automatic-renewal terms and how to cancel. Your acknowledgment of the automatic-renewal offer terms and cancellation information is sent by email as described in the Automatic Renewal Disclosure section.

Please review your order confirmation and your account billing history for accuracy. If you believe a charge is incorrect, contact us promptly at contact@hivemind.yt so that we can review it. We maintain billing and transaction records (including amounts, taxes, and audit records) as required for accounting, tax, and legal compliance; the retention and handling of these records is described in our Privacy Policy.

12. Affiliate Commissions (Reference)

Amounts payable to participants in our affiliate program (for example, recurring commissions) are governed by our separate Affiliate Program Terms and are paid through Stripe Connect. Affiliate commissions are not a discount, credit, or refund on a buyer's purchase and do not change the price a buyer pays for a subscription. This Policy does not modify the Affiliate Program Terms; in the event of a conflict regarding affiliate payouts, the Affiliate Program Terms control.

13. Governing Law and Disputes

This Policy is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes relating to this Policy are subject to the dispute-resolution provisions of our Terms of Service, including binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association, a California venue, and a class-action waiver, except where such provisions are limited or prohibited by applicable law. Nothing in this Policy waives any non-waivable consumer right you may have under applicable law.
