HIVEMIND YT Beta Testing Terms

1. Introduction and Acceptance

These Beta Testing Terms (the "Beta Terms") govern your access to and participation in the private beta program for HIVEMIND YT, a YouTube creator-growth software-as-a-service product operated by HIVEMIND YT LLC, a California limited liability company ("HIVEMIND YT LLC," "we," "us," or "our"). HIVEMIND YT is provided at the domain hivemind.yt and includes features such as Pulse Analytics, Create Clips, Knowledge Bases and Video Intelligence, Community Portals, an administrative console, subscription monetization, and a developer API product.

You must read and accept these Beta Terms before you enter your beta access code and before you are granted access to the beta version of HIVEMIND YT (the "Service" or the "Beta"). By clicking "I Agree" (or a similar control), by entering your access code, or by otherwise accessing or using the Beta, you represent that you have read, understood, and agree to be bound by these Beta Terms. If you do not agree, do not enter your access code and do not access or use the Beta.

You represent that you are at least 18 years of age. The Service is not intended for, and may not be used by, anyone under the age of 18.

During the beta, creating an account requires a valid invitation or registration code, and a registration attempt made without one is refused. Section 3a describes what a code carries, how many times it may be redeemed, and how it may be changed or revoked.

These Beta Terms are supplemental to, and do not replace, our general Terms of Service and Privacy Policy. In the event of a conflict between these Beta Terms and the general Terms of Service with respect to your participation in the Beta, these Beta Terms control for the Beta only.

2. Incorporation of Terms of Service and Privacy Policy by Reference

The HIVEMIND YT Terms of Service and the HIVEMIND YT Privacy Policy are incorporated into these Beta Terms by reference and apply to your participation in the Beta in full. By accepting these Beta Terms you also agree to be bound by the Terms of Service and acknowledge the Privacy Policy.

Because the Service connects to Google and YouTube services, you acknowledge that your use of HIVEMIND YT is subject to the YouTube Terms of Service (https://www.youtube.com/t/terms), and that by using the Service you agree to be bound by the YouTube Terms of Service. You further acknowledge that the Service uses YouTube API Services and is subject to the YouTube API Services Terms of Service (https://developers.google.com/youtube/terms/api-services-terms-of-service), and that the Google Privacy Policy (https://www.google.com/policies/privacy/) governs personal data provided to Google in connection with the YouTube API Services.

Access to YouTube-connected and Google-connected features of the Beta is conditioned on your acceptance of the Privacy Policy. The detailed disclosures regarding the categories of Google and YouTube data the Service accesses, uses, stores, deletes, and shares, the Limited Use commitments, the 30-day refresh-or-delete practice, and the methods for requesting deletion or revoking access (including via the Google security settings page at https://security.google.com/settings/security/permissions) are set out in the Privacy Policy.

3. Limited, Revocable Invitation; Suspension and Revocation

Your access to the Beta is a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable invitation extended by HIVEMIND YT LLC in its sole discretion. It is not a sale, lease, or transfer of any ownership interest, and it confers no right to continued access.

We may suspend, deny, limit, revoke, or terminate your access to the Beta, in whole or in part, at any time, in our sole discretion, with or without cause, and with or without notice, and without any liability to you. We may also disable or invalidate any beta access code at any time.

Your beta access code is personal to you. You may not share, sell, transfer, or distribute your access code, and you may not permit any other person to use your access to the Beta. Unauthorized sharing of an access code is grounds for immediate revocation.

Upon any suspension, revocation, termination, or expiration of your access, you must cease all use of the Beta. The provisions of these Beta Terms that by their nature should survive termination (including the feedback license, confidentiality, disclaimers, limitation of liability, indemnification, and dispute-resolution provisions) will survive.

3a. Trial and Registration Codes

A valid code is required to register. During the beta, creating an account requires a valid invitation or registration code issued or approved by HIVEMIND YT LLC. We may require a code, stop requiring one, or change which codes are accepted, at any time, in our sole discretion and with or without notice. A registration attempt made without a valid code is refused, and a refused attempt creates no account and no entitlement of any kind.

What a code carries. Each code is configured by HIVEMIND YT LLC and carries the plan level and the number of days of access that we have set for that code. The plan level and the day count differ between codes, are set at our discretion, and may be changed. No code entitles you to any particular plan level, to any particular length of access, to any specific feature or capacity, or to any price. Nothing shown to you when you enter a code, and nothing you can see in the product after you enter one, is a promise that a plan, feature, price, or capability will be offered, will remain available, or will exist in any future version of the Service; Sections 4 and 5 apply to it in full.

One redemption per account, for the life of that account. A code may be redeemed at most once per account, ever. The fact that a code was redeemed is recorded against your account permanently, and once it is recorded you may not redeem another code on that account. A code may also carry a limit on the total number of accounts it will admit and an expiration date, after which it stops working for everyone. Attempting to redeem a code that has been disabled, has expired, or has reached its limit does not create any entitlement and does not oblige us to issue a replacement.

Codes are revocable and may be changed at any time. We may disable, revoke, invalidate, shorten, re-scope, re-price, replace, or otherwise change any code at any time, in our sole discretion, with or without cause, with or without notice, and without any liability to you. A change takes effect prospectively. Nothing in this Section obliges us to honor a code that we have disabled or changed, and revoking or changing a code does not create any right to compensation, to a substitute code, or to continued access.

No entitlement to continued access. Access obtained through a code is a limited, revocable invitation on the terms of Section 3, not a purchase and not a subscription. It confers no right to continued access at any level, no right to renew or extend, no right to a replacement code, and no refund, credit, or cash value. Your access may be suspended, limited, revoked, or terminated on the terms of Section 3 while an access period is still running.

What happens when the access period ends. When the period carried by your code ends, we may downgrade your account to a limited or expired state in which paid features are not available, unless a paid subscription is then active on the account. No charge is made at the end of that period: an access period obtained through a code does not convert automatically into a paid subscription, and you will not be billed unless you separately enroll in a paid plan and consent to be charged, as described in the Sales Policy at /legal/sales and the Refund Policy at /legal/refund. Content and data associated with your account remain subject to Section 6 of these Beta Terms.

Your code is personal to you. Section 3 applies to invitation, registration, and trial codes in full. You may not share, sell, transfer, publish, or distribute a code, and you may not permit any other person to use a code issued to you. Unauthorized sharing is grounds for immediate revocation of the code and of your access, and for the removal of any access the sharing produced.

Charges under your own keys are unaffected by a code. A code changes what plan level your account holds; it does not pay for anything you run on your own third-party credentials. Section 7 of the Terms of Service at /legal/terms describes which features run on your own credentials and which run on ours.

4. As-Is, Pre-Release Nature of the Beta

The Beta is a pre-release offering provided on an "AS IS" and "AS AVAILABLE" basis. The Beta is under active development, may be incomplete, may contain bugs, defects, or errors, may be unstable or unavailable, may change without notice, and may produce unexpected results, including the loss of content or data.

We may modify, add, remove, suspend, throttle, or discontinue any portion of the Beta, or the Beta in its entirety, at any time and for any reason, in our sole discretion, with or without notice. We have no obligation to release any generally available version of the Service or of any feature, or to maintain or continue any feature, capability, or integration that appears in the Beta.

You should not rely on the Beta for production use or for storing important or irreplaceable data. You are responsible for maintaining your own backups of any content you consider important.

The Service depends on third-party platforms and services, including Google Sign-In and Google OAuth, the YouTube Data API v3 and YouTube Analytics, Google Gemini and Vertex AI, Firebase and Google Cloud, Firecrawl, Stripe, and social publishing targets including Meta, Instagram, Threads, Facebook, TikTok, X (Twitter), and LinkedIn. Your access to and ability to publish through any of these platforms is subject to each platform's own terms and may be rate-limited, throttled, suspended, or terminated by that platform at any time. We are not responsible for, and disclaim liability for, the availability, accuracy, content moderation, suspensions, account terminations, data loss, or downtime of these third-party platforms, and your relationship with each such platform is governed by that platform's own terms directly between you and that platform.

5. Prices, Plans, Features, and Products Are Non-Final and Subject to Change

The Beta is currently provided without charge during the beta period. Paid subscription plans exist within the product, and the product references subscription tiers (for example, Synapse, Cortex, Nexus, and Omni) and an affiliate program. However, all prices, plans, tiers, features, capabilities, products, commission terms, and other commercial details that you may see in the Beta are pre-release, preliminary, and NON-FINAL, and are SUBJECT TO CHANGE AT ANY TIME, in our sole discretion, with or without notice.

Nothing displayed, described, or referenced in the Beta, including any price, plan, tier, feature, roadmap item, product, or commission rate, constitutes an offer, a promise, a commitment, a representation, or a guarantee that any such price, plan, tier, feature, product, or term will be made available, will be offered on the terms shown, or will exist in any future version of the Service.

BY PARTICIPATING IN THE BETA, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT PRICES, PLANS, FEATURES, AND PRODUCTS ARE NON-FINAL AND MAY CHANGE AT ANY TIME, THAT THEY ARE NOT AN OFFER OR GUARANTEE, AND THAT YOU ARE NOT RELYING ON ANY SUCH PRE-RELEASE INFORMATION. To the fullest extent permitted by applicable law, you knowingly and voluntarily waive, and agree not to assert, any claim of false advertising, misleading information, misrepresentation, deceptive trade practice, or similar claim against HIVEMIND YT LLC arising from or relating to any non-final price, plan, feature, product, or commercial term presented during the Beta, or from any change to or discontinuation of the same, except for any right that cannot be waived under applicable law.

The 'with or without notice' standard in this Section applies only to the free beta period and to plans and prices you have not purchased. Once you hold a paid auto-renewing subscription, any change to your recurring price is governed by the advance-notice and consent terms in the Sales Policy, and nothing in these Beta Terms reduces any notice or consent right required by the California Automatic Renewal Law or other applicable law.

This waiver does not purport to waive any right that, under applicable law, cannot be waived.

6. Data May Be Reset or Deleted; No Retention Guarantee

The Beta is a test environment. Any data, content, configurations, projects, clips, knowledge bases, analytics, or other materials that you create, upload, or store during the Beta may be reset, deleted, corrupted, or lost at any time, and may not be migrated to any future or generally available version of the Service.

We provide NO guarantee regarding the retention, preservation, integrity, availability, or recoverability of any data or content during or after the Beta. You should not store important or irreplaceable data in the Beta, and you are solely responsible for maintaining independent backups.

Separately from this Beta reset practice, YouTube authorized data that the Service stores is refreshed or deleted within 30 days as described in the Privacy Policy, and certain money, ledger, tax, and audit records are pseudonymized rather than deleted on an erasure request in order to satisfy legal retention obligations, also as described in the Privacy Policy.

7. Feedback and Bug Reporting Obligation; Feedback License

As a condition of your participation, you AGREE TO PROVIDE FEEDBACK AND TO REPORT BUGS. You agree to make reasonable efforts to evaluate the Beta, to report errors, defects, and problems you encounter, and to provide comments, suggestions, ideas, and other feedback regarding the Beta and its features (collectively, "Feedback") when reasonably requested or as you encounter issues.

You grant HIVEMIND YT LLC a perpetual, irrevocable, worldwide, royalty-free, fully paid-up, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, and otherwise exploit any Feedback you provide, and to incorporate such Feedback into any HIVEMIND YT LLC product or service, in any manner and for any purpose, without restriction, attribution, accounting, or compensation of any kind to you.

You represent that you have the right to provide the Feedback you submit and that your Feedback does not include confidential information of any third party that you are not authorized to disclose. We are under no obligation to use, implement, or respond to any Feedback.

8. Confidentiality of Unreleased Features

The Beta, including all unreleased features, functionality, user interfaces, performance characteristics, designs, roadmaps, pricing under evaluation, and any non-public information you learn through your participation (collectively, "Confidential Information"), is the confidential and proprietary information of HIVEMIND YT LLC.

You agree to keep the Confidential Information strictly confidential, to use it only for the purpose of participating in and evaluating the Beta, and not to disclose, publish, demonstrate, benchmark, or otherwise make the Confidential Information available to any third party without our prior written consent. You agree not to publicly post screenshots, recordings, descriptions, or other disclosures of unreleased features without our prior written consent.

This confidentiality obligation does not apply to information that is or becomes publicly available through no fault of yours, that you can demonstrate you already lawfully possessed without a duty of confidentiality, that is rightfully disclosed to you by a third party without restriction, or that you are legally compelled to disclose (provided that, where lawful, you give us prompt notice and a reasonable opportunity to seek protective treatment).

9. No Compensation and No Employment Relationship

Your participation in the Beta is voluntary. You will not receive, and you are not entitled to, any compensation, payment, reimbursement, fee, or other consideration for participating in the Beta, for providing Feedback or reporting bugs, or for any time, resources, equipment, or expenses you expend in connection with the Beta.

These Beta Terms do not create any employment, agency, partnership, joint venture, or fiduciary relationship between you and HIVEMIND YT LLC. You are not an employee, contractor, agent, or representative of HIVEMIND YT LLC by virtue of your participation, and you have no authority to bind HIVEMIND YT LLC.

10. Your Responsibilities; Acceptable Use

You are responsible for your own content and for any content you choose to publish through the Service to third-party social platforms (including Meta, Instagram, Threads, Facebook, TikTok, X (Twitter), and LinkedIn). The Service publishes content only on your behalf, at your direction, and only after you have reviewed and expressly approved it. You represent and warrant that you hold all rights, consents, permissions, and licenses necessary in the content you submit for publication, and you agree to comply with the rules, terms, and content standards of each destination platform to which you publish.

You agree that the Service accesses YouTube and Google data using official Google and YouTube APIs only. You will not use the Service to scrape, crawl, rip protected streams, circumvent technological protection measures, or otherwise obtain content other than through official, authorized APIs. You will not upload or submit content that infringes copyright or that was obtained by circumventing technological protection measures. If you use the upload functionality, you certify that the content you upload complies with the YouTube Terms of Service, including the YouTube Community Guidelines (https://www.youtube.com/t/terms).

If you supply your own AI or YouTube API keys ("bring your own key"), you are solely responsible for those keys, for their security, and for any usage, cost, or consequences associated with them.

Any artificial-intelligence outputs produced by the Service are generated algorithmically, are not human-reviewed, may be inaccurate or incomplete, and do not constitute professional, financial, or legal advice. We make no guarantee of any growth, revenue, audience, or other results from your use of the Service. You should independently verify AI outputs before relying on them.

11. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE BETA AND THE SERVICE ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. HIVEMIND YT LLC AND ITS LICENSORS AND SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE BETA WILL BE UNINTERRUPTED, TIMELY, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, THAT ANY DATA WILL BE PRESERVED, OR THAT THE BETA OR ANY SERVERS OR THIRD-PARTY SERVICES ARE FREE OF HARMFUL COMPONENTS. THE THIRD-PARTY PLATFORMS AND THEIR APIS ARE LIKEWISE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS, AND WE DO NOT CONTROL AND ARE NOT RESPONSIBLE FOR THEIR AVAILABILITY, ACCURACY, COMPLETENESS, SECURITY, OR UNINTERRUPTED OPERATION.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you. This disclaimer mirrors and supplements the disclaimers in the Terms of Service.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HIVEMIND YT LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, CONTENT, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE BETA, THESE BETA TERMS, OR YOUR PARTICIPATION, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

To the fullest extent permitted by applicable law, the total aggregate liability of HIVEMIND YT LLC arising out of or relating to the Beta or these Beta Terms will not exceed the greater of (a) the total amount you actually paid to HIVEMIND YT LLC in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100). This cap is applied together with, and not in addition to, the limitation of liability in the Terms of Service; in no event will HIVEMIND YT LLC's total aggregate liability across these Beta Terms and the Terms of Service exceed that amount.

The limitations in this section apply to the maximum extent permitted by applicable law and reflect the allocation of risk between the parties. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you.

13. Indemnification

To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless HIVEMIND YT LLC and its members, managers, officers, employees, agents, licensors, and suppliers from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Beta; (b) your content or any content you submit, publish, or transmit through the Service; (c) your violation of these Beta Terms, the Terms of Service, the Privacy Policy, or any applicable law; (d) your violation of the terms or content rules of any third-party platform, including Google, YouTube, or any social publishing platform; or (e) your misuse of any third-party platform through the Service.

This indemnification obligation mirrors and supplements the indemnification provisions in the Terms of Service and survives termination of your participation.

14. Governing Law, Arbitration, and Class-Action Waiver

These Beta Terms, and any dispute arising out of or relating to them or to the Beta, are governed by the laws of the State of California, without regard to its conflict-of-laws principles.

Any dispute, claim, or controversy arising out of or relating to these Beta Terms or the Beta that cannot be resolved informally will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in California, and California will be the venue for any proceeding permitted to be brought in court. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.

YOU AND HIVEMIND YT LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If this class-action waiver is found to be unenforceable as to a particular claim, then that claim (and only that claim) will be severed and may proceed in court, while the remainder of this arbitration agreement remains in effect.

This dispute-resolution provision is consistent with, and supplemental to, the dispute-resolution provisions in the Terms of Service.

15. General

If any provision of these Beta Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

We may modify these Beta Terms at any time by posting the revised terms. Your continued participation in the Beta after the effective date of a revision constitutes your acceptance of the revised Beta Terms. These Beta Terms, together with the Terms of Service and Privacy Policy incorporated by reference, constitute the entire agreement between you and HIVEMIND YT LLC regarding the Beta.
